Five companies that trace their JetSmarter investments to its 2014 Round A financing have sued shareholder vehicle JSH Partners, seeking records tracing their original equity into JSH’s current Vista-related holdings. The verified complaint for inspection of books and records, filed September 10 in the Delaware Court of Chancery, comes as business aviation group Vista Global Holding is reportedly weighing an initial public offering (IPO) in Europe. Vista acquired JetSmarter in 2019.
The complaint alleges JSH never responded to a July 10 demand for records it was obligated to answer by July 17 under Section 18-305 of the Delaware Limited Liability Company Act. Plaintiffs KZ Capital General Trading, Septaria Family Trust, Septaria Ventures, Vorona Investments, and Darius K Consulting claim their historical JetSmarter positions total at least $25.75 million. The demand was served on JSH’s manager, Blue Maverick Holdings.
According to the plaintiffs, JSH holds 1,280,320 ordinary Vista shares designated Class 1 Stock Consideration, with an original stated value of $40 million; 4,782,479 ordinary Vista shares designated Class 2 Stock Consideration, subject to a Put Option JSH exercised May 8, 2025, for which Vista paid $239,064,206 plus $4,401,401.27 in accrued interest on Aug. 28, 2026; and 1,000,250 convertible shares that convert automatically on a Vista liquidity event implying an aggregate equity valuation of at least $12.5 billion.
Vista or its chairman and founder, Thomas Flohr, may still exercise a purchase option for the Class 1 shares at $40 million less accrued interest, due no later than November 30, with 6% annual interest accruing from exercise to closing. JSH’s manager has determined the company would be dissolved following the relevant payments, according to the plaintiffs.
The filing follows an August 27 Bloomberg report that Vista was exploring a European IPO that could raise more than $1 billion at a valuation above $10 billion, with Bank of America, UBS and UniCredit advising and Milan and Zurich among potential listing venues; no final decision had been made, according to that report.
“The records are the beginning, not the end,” said Dmitry Romantsov, who represents the plaintiff entities. “We need to understand who had the authority to make these decisions, how our interests were calculated, what happened to the securities we originally purchased, and whether the rights of the original investors were respected along the way.”
Vista has not yet responded to AIN’s request for comment, and attempts to reach anyone at JSH and Blue Maverick were unsuccessful.&nbsp;
